Note: Students taking this course cannot take Corporate Transactions (LAW530).

This course will examine and analyze the principles, issues and dynamic interaction of corporate and securities laws in transactions involving contests for control of corporations. It will focus on take-over bids and arrangements, related party transactions, shareholder activism and proxy contests. Emphasis will be given throughout the course to developing an in-depth understanding of legal principles and issues through the study of actual Canadian contested corporate transactions.

Evaluation
Will be by a 3 – hour in class open-book examination (90%) and class participation (10%).
