This is a course on the law of business organizations, with a primary focus on corporations. We will also explore agency and partnership law to examine both the similarities and differences in organizational law. Specific topics include corporate purpose, fiduciary duties, shareholder voting, executive compensation, derivative suits and other remedies, control transactions, introduction to mergers and acquisitions and corporate governance. The course materials will be explored through a variety of legal approaches, with a particular emphasis on the functional analysis of legal rules, especially from a law and economics perspective. 

Evaluation
Students will be assessed based on a 3 hour open book in-class final examination (90%) and class participation (10%).
